Global Software Terms of Service
1. Acceptance of Terms
By registering a school profile, establishing a tenant account, or accessing the school SaaS management dashboard, the school institution, its administrative delegates, and super admin operators ("Tenant", "User", "you") agree to be bound by these legal Terms of Service ("Terms").
These terms govern all services, custom PostgreSQL databases schema allocations, automated WhatsApp notification pipelines, and grade analytics calculations offered by EduManage Technologies Ltd. If you are accepting these terms on behalf of a school district, academy network, or formal educational board, you certify that you hold the legal authority to bind that institutional entity to these covenants.
2. Onboarding & Account Registrations
Tenants must complete active school registration through our onboarding portal. You agree that all inputs, institutional licenses, and tax numbers provided are accurate. Administrators are fully responsible for preserving the confidentiality of registration keys and active session tokens.
Accounts may not be shared outside authorized school staff members. Super Admins hold complete executive control over administrative invites, and are solely responsible for actions performed under their designated tenant profiles.
3. PostgreSQL Schema Tenancy Responsibility
EduManage guarantees technical segregation through isolated Postgres schemas inside our database clusters. However, the Tenant bears complete and absolute responsibility for the integrity, legality, and accuracy of all student, behavioral, grading, and personnel records injected into their schema namespace.
🛡️ Schema-Level Tenancy Guidelines
The Tenant retains sole intellectual property rights to their schema contents. EduManage does not inspect, moderate, or filter specific entries within your dedicated Search Path. The Tenant warrants that all parent-contact rosters, class records, and employee rosters comply fully with regional privacy and children-record regulations (such as FERPA in the US or local educational guidelines).
4. Billing, Fee Calculations & Stripe Channels
Onboarded schools subscribe to EduManage plans based on active student capacity tiers as configured in our billing slider. Invoices are generated monthly or annually in advance.
Tuition computations, custom balance adjustments, and transport fee indexes are computed dynamically via database store functions inside the schema. The platform acts strictly as a calculation and tracking tool; the Tenant remains solely responsible for auditing automated ledger calculations before releasing WhatsApp billing alerts or collecting balances via connected Stripe payment channels.
5. Platform Availability, Backups & SLA
We target a continuous 99.9% platform availability index, excluding planned system upgrades. The PG backup pipeline schedules daily automated schema dumps, stored securely in an isolated, multi-region AWS S3 bucket.
In the event of a cluster-level restore or backup rollbacks, we utilize isolated drop-and-restore procedures, ensuring other tenant clusters are not locked. Our team provides priority engineering support based on active tier scopes, and we rotate cryptographic keys routinely to ensure continuous session defense.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDUMANAGE TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF SCHOOL TUITION REVENUE, STUDENT ACADEMIC DATABASES, PARENT TRANSACTION RECORD LOSS, OR DISRUPTED ACADEMIC TERMS ARISING OUT OF PLATFORM SYSTEM DELAYS OR POSTGRES POOL EXHAUSTIONS.
In no event shall our total aggregate liability for all claims under these terms exceed the total billing fees paid by the Tenant to us in the preceding six (6) calendar months.
7. Suspensions & Schema Erasure Guidelines
A Tenant may terminate their subscription at any time via the Super Admin control panel. In active default of payment or violation of child safety guidelines, we reserve the right to instantly freeze active tenant connections and suspend dashboard privileges.
Upon formal account termination, the dedicated tenant schema drop job is queued. Within 30 days, the schema is cascade dropped, and all linked S3 backups are permanently expunged in full alignment with standard GDPR "Right to be Forgotten" mandates.
8. Governing Law & Jurisdictions
These terms, active agreements, and school registration contracts are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflicts of law provisions.
Any legal proceedings, dispute arbitrations, or claims arising out of platform operation will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and each party consents to the personal jurisdiction and venue of these courts.
